Awareness of Terms and Conditions

Zenpact, Inc (operating oxringer.com, below referred to as ER) provides telephony services to you, subject to these Terms and Conditions of Service.

We may change these Terms and Conditions of Service or make new terms at any time. Although we will attempt to notify you through reasonable means when the Terms and Conditions of Service change, we are under no obligation to do so.

OxRinger Services

OxRinger is not a SIM card or dial-tone provider and is not a replacement for any phone lines – wired, wireless, or Internet. OxRinger provides numbers and services that are designed to work with your existing phone service.OxRinger DOES NOT support any emergency calls to hospitals, medical care clinics, law enforcement agencies, or any type of emergency services of any kind.

Registration

You must provide accurate, complete, and current information about yourself as needed for registration and payment.In the event of a change, you must promptly update the Registration Information to ensure that it remains accurate, complete, and current.

You must be the owner of any destination phone numbers you provide to ER.

ER will handle Registration Information in accordance with a published privacy policy (“Privacy Policy”) available here

Cancellation

You can cancel your subscription with us at any time. We will refund any remaining credit balance upon request,and your OxRinger numbers will be closed immediately.

Credit card billing practices

All credit card transactions you submit to our service will appear on your statement as “Zenpact, Inc” or “OxRinger “. We authorize your credit card at signup, and then charge your credit card again each time your subscription balance goes below a threshold as indicated during signup. We do this automatically.

As described on our order-form, there are three costs to using our service:

  1. A monthly fixed fee for your phone number and plan. This depends on the country where you select a phone number.
  2. A per-minute fee depending on talk-time. This depends on your OxRinger number and destination number.OxRinger cannot be held responsible for any cases of pricing changes on the per minute pricing.OxRinger current rates are always available on our home page and our FAQ. Pricing changes and price fluctuations are determined by our providers.
  3. A per-message fee depending on SMS rates. This depends on your OxRinger number and destination number.Like voice pricing, SMS messages are also subject to price fluctuations.

If an attempt to charge your payment method fails, such as if your card has expired or doesn’t have sufficient credit, we will use the credit you have to pay for your numbers, calls, and messages. If your credit drops below zero, your number will stop working. Any subsequent number charges will cause the number to be removed from your subscription.When you have no numbers in your subscription, your subscription will automatically close after two days.

If you submit a credit card as payment, you warrant to us that you have provided true and accurate card information and that you are fully authorized to use that credit card. Should you commit credit card fraud of any kind in conjunction with our service, we will work with law enforcement agencies to help prosecute you to the fullest extent of the law.

There should be no reason to ever file a chargeback request for credit card transactions. We investigate all such requests as potential fraud, and are required to freeze all affected subscriptions while the investigation is in progress. If you believe a charge was made in error, simply contact our support team, and we will fix the problem (ie, give refunds if necessary).

If you wish to reactivate your subscription, we can recover your number if it has not been closed for more than two weeks. Beyond this time, we may or may not be able to recover your number. If you had supplied any regulatory information for your number, this information will need to be re-submitted to the regulators.

Conduct

You may not:

  1. impersonate or falsely represent affiliation with ER, its employees, owners, or contractors;
  2. engage in any activity that would cause ER to be in violation of the terms of service it obtains from other parties;
  3. interfere with or disrupt the operation of the Services, or equipment used in providing the Services;
  4. allow any other individual to use your ER username and password to access our systems;
  5. verbally abuse, harass, or threaten ER, its employees, owners, or contractors.

Acceptable Use Policy

Subscriber agrees not to use the ER service in the following prohibited ways:

  1. Violating or facilitating the violation of any applicable laws or regulations of any applicable jurisdiction, including, without limitation, (a) applicable laws or regulations related to the transmission of data and recording or monitoring of phone calls and other forms of communication; (b) applicable laws or regulations that prohibit engaging in any unsolicited advertising, marketing, or transmission of communications; (c) applicable anti-spam laws or regulations such as the CAN SPAM Act of 2003, the Telephone Consumer Protection Act, and the Do-Not-Call Implementation Act; or (d) applicable data protection or privacy laws, regulations, or legislation.
  2. Using OxRinger in connection with unsolicited, unwanted, or harassing communications (commercial or otherwise), including, but not limited to, phone calls, SMS or MMS messages.
  3. Using OxRinger to harvest or otherwise collect information about individuals, including email addresses or phone numbers, without their explicit consent or under false pretenses.
  4. Using OxRinger to record or monitor a phone call or other communication without securing consent from the participants to the phone call or other communication as required under applicable law.
  5. Using OxRinger in activity that generates inquiries from a law enforcement, government, or regulatory agency or triggers such an agency to request the suspension of OxRinger to Subscriber and/or Subscriber’s phone numbers. Common examples include phishing and other forms of fraud to obtain personal information for malicious use over both voice and text.
  6. Using OxRinger to transmit any material or content that is, facilitates, or encourages libelous, defamatory, discriminatory, or otherwise malicious or harmful speech or acts to any person or entity, including but not limited to hate speech, and any other material or content that OxRinger reasonably believes degrades, intimidates, incites violence against, or encourages prejudicial action against anyone based on age, gender, race, ethnicity, national origin, religion, sexual orientation, disability, geographic location or other protected category.
  7. Using OxRinger to transmit any material or content that is offensive, inappropriate, pornographic, obscene, illegal, or otherwise objectionable to any person or entity, including cannabis-related terms or images.
  8. We strive to provide excellent customer service to all of our clients, and we ask that you treat our customer service agents with respect and professionalism. Any form of verbal abuse, harassment, or inappropriate language will not be tolerated and may result in the termination of our services. Please remember that our customer service agents are here to help you and that treating them with respect and professionalism will help us to better serve you. We appreciate your cooperation in maintaining a positive and respectful environment for all of our clients and staff.

Fair Use for Unlimited SMS

Any unlimited SMS feature is intended for personal, non-commercial use by individual customers. To maintain the quality of service for all users, the following conditions apply:

  1. Unlimited SMS is for personal, non-business, non-commercial messaging between individuals. Any use involving bulk messaging, automated systems, or group marketing is prohibited.
  2. While SMS is unlimited for individual use, excessive usage that significantly deviates from average customer use may be subject to review, temporary suspension, and a shift to a professional business plan pending the usual business approvals.
  3. Sending spam, unsolicited marketing messages, or mass broadcasts. Using the service for commercial purposes, including promotional campaigns or automated messaging services. Reselling the service to third parties.
  4. We reserve the right to take action in cases of unreasonable use, including but not limited to: 1. Limiting or suspending the unlimited SMS feature. 2. Terminating the service for the offending subscription. 3. We may monitor SMS usage to ensure compliance with this policy. Any abuse or breach of these terms will be handled in accordance with our terms of service.

Indemnity

You indemnify and hold harmless ER and its subsidiaries, affiliates, owners, officers, directors, agents, partners, employees, and contractors from any claim or demand, including reasonable attorneys’ fees, made by any third party due to or arising out of your use of the Services, or your activities in conjunction with the Services.

Modifications to services

ER reserves the right at any time to modify or discontinue, temporarily or permanently, the Services or any portion thereof with or without notice.

Availability of content

ER makes a good faith effort to provide the Services in a reliable and consistent fashion. Our system is designed for 100% availability, though there may be outages caused by factors outside of our control, and no guarantee is made as to the availability of Services at a particular time.

Termination and Refunds

ER reserves the right at any time and for any reason, including but not limited to your violation of these Terms and Conditions of Service, to limit, suspend, or terminate your use of the Services. Such termination of your use of the Services may be performed without prior notice, and ER may immediately deactivate your subscription and/or bar all access to the same. ER will not be liable to you or to any third party for any termination of your access to Services.
If ER terminates your service because you violated our Terms and Conditions of Service, we may retain some or all of any balance remaining in your subscription as liquidated damages. You will remain liable for any additional damages you cause ER by your violation of these Terms and Conditions of Service. Please respect our Terms and Conditions of Service.

Refunds

Refunds are acceptable in the following circumstances:

  1. Duplicate payments
  2. Mistaken charges after cancellation
  3. Leftover credit will be refunded upon request
  4. For our 7-Day money-back guarantee, we will refund the full monthly price of your subscription and number upon request, not including any call costs beyond what was included in your plan. The money-back guarantee is not eligible if the number was used for online verification. The money-back guarantee does not cover any additional numbers added to your subscription.

OxRinger will not refund any credit given as a result of a coupon, offer, or promotion.

OxRinger will not refund the price of any number that has been used for online verification.

OxRinger can only refund plans and numbers priced above $20 in the event of a technical error (other than online or bank verification) that cannot be solved.

OxRinger will not refund fees for a port-in after the port application has been submitted.

OxRinger will not refund fees in the event of abuse of our terms of service or acceptable use policy.

OxRinger will not refund fees in the event of a subscriber’s non-response when OxRinger needs to gather information regarding suspected abuse of our terms of service.

Except for actions brought by OxRinger for non-payment, no claim for losses or damages in connection with these terms shall be made more than 6 months after the date of the event giving rise to such damages is known or reasonably should have been known to the party making such claim.

Disclaimer of warranties

  1. Your use of the Services is at your sole risk. The Services are provided on an “as is, as available” basis.
  2. ER expressly disclaims all warranties of any kind, whether express or implied, including but not limited to the implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
  3. ER makes no warranty that the Services will meet your requirements; that the Services will be uninterrupted, timely, secure, or error-free; that the results that are obtained from your use of the Services will be accurate or reliable; and that any errors in the Services will be corrected.
  4. No information or statement, whether oral or written, obtained by you from ER or its officers, owners, directors, employees, or contractors shall create any warranty not expressly stated in the Terms and Conditions of Service.

Limitation of liability

ER, including but not limited to its officers, directors, owners, employees, and contractors, shall not under any circumstances be liable for any direct, indirect, incidental, special, consequential, exemplary, or any other type of damages, including but not limited to damages for loss of profits, goodwill, use, data or other intangible losses even if ER has been specifically advised of the possibility of such damages. Your sole remedy regardless of the circumstances shall be the return of funds contained in your subscription that have not been disbursed or allocated to pay for Services provided or liquidated damages.

Exclusions and limitations

Some jurisdictions do not allow the exclusion of certain warranties or the limitation or exclusion of liability for incidental or consequential damages. Accordingly, some of the above may not apply to you.

You are solely responsible for any and all fees associated with obtaining access to ER and associated Services.

Notices to you may be made through electronic mail or via the ER website.

General information

These Terms and Conditions of Service constitute the entire agreement between you and ER. The Terms and Conditions of Service govern your use of the Services, superseding any prior agreements between you and ER including but not limited to any prior versions of the Terms and Conditions of Service. The Terms and Conditions of Service and the relationship between you and ER shall be governed by the laws of the State of Delaware (United States) without regard to its conflict of law provisions. The failure of ER to exercise or enforce any right or provision of the Terms and Conditions of Service shall not constitute a waiver of such right or provision. If any provision of the Terms and Conditions of Service is found by a court of competent jurisdiction to be invalid, the parties nevertheless agree that the court should endeavor to give effect to the parties’ intentions as reflected in the provision, and the other provisions of the Terms and Conditions of Service remain in full force and effect. Regardless of any statute or law to the contrary, any claim or cause of action you have arising out of or related to your use of the Services must be filed within one (1) year after such claim or cause of action first arose or be forever barred. The section titles in the Terms and Conditions of Service are for clarity only and have no legal or contractual effect.
